1. Acceptance of Terms

By accessing and using Zervixa ("Service"), operated by Jegav, Inc., you agree to be bound by these Terms of Service ("Terms"). If you do not agree to comply with these Terms, you may not use the Service. We reserve the right to modify these Terms at any time. Your continued use of the Service following the posting of revised Terms means you accept and agree to the changes.

2. Description of Service

Zervixa is a cloud-based affiliate tracking platform designed to help businesses monitor, manage, and optimize their affiliate marketing programs. Our platform provides tools for tracking affiliate clicks, conversions, commissions, and performance metrics. The Service includes reporting dashboards, API access, commission calculation and payout functionality, and affiliate management features.

3. Account Creation and Registration

Account Information

To use Zervixa, you must create an account and provide accurate, complete, and current information. You agree to:

• Provide true and accurate information during registration
• Update your information if any details change
• Be responsible for all activities that occur under your account

Password Security

You are responsible for maintaining the confidentiality of your account password. You agree to:

• Create a strong, unique password
• Never share your password with others
• Immediately notify us of any unauthorized access or suspected breach
• Log out of your account when using shared or public computers

Account Responsibility

You are solely responsible for all activities that occur under your account, whether authorized by you or not. You acknowledge that you are responsible for maintaining the security of your login credentials and for any actions taken using your account.

4. Acceptable Use Policy

You agree not to use Zervixa for any unlawful purpose or in any way that violates these Terms. Specifically, you agree not to:

Prohibited Conduct

• Engage in any fraudulent or deceptive practices
• Upload, transmit, or distribute malware, viruses, or harmful code
• Post obscene, offensive, or illegal content
• Engage in spam, phishing, or harassment
• Attempt to gain unauthorized access to our systems or networks
• Disrupt or interfere with the normal operation of the Service
• Reverse engineer, decompile, or attempt to derive the source code of Zervixa
• Scrape, crawl, or extract data in bulk without authorization

Tracking-Specific Prohibitions

As an affiliate tracking platform, you agree not to use Zervixa to:

• Cookie Stuffing: Place cookies without clear user consent or engage in any deceptive cookie practices
• Click Fraud: Artificially inflate clicks or conversions through bot traffic, purchased traffic, or other fraudulent means
• Trademark Infringement: Use merchant trademarks in paid search campaigns or domains without proper authorization
• Misleading Advertising: Use false claims, misleading headlines, or deceptive landing pages
• Incentivized Clicks: Offer incentives for clicks without clear disclosure
• Ad Stacking: Layer multiple ads on top of each other to generate fraudulent impressions
• Unauthorized Distribution: Distribute affiliate links through channels not approved by merchants

5. Billing and Payments

Subscription Plans

Zervixa operates on a subscription-based model. Pricing and available plans are displayed in your account dashboard. You understand that:

• You are responsible for all charges incurred under your account
• We accept payments through Stripe for all billing transactions
• Billing cycles, renewal dates, and pricing are clearly displayed at the time of purchase

Auto-Renewal

Unless you cancel your subscription before the renewal date, your subscription will automatically renew at the end of each billing cycle. You authorize us to charge your payment method for renewal fees. You may cancel your subscription at any time through your account settings, and cancellation will take effect at the end of your current billing period.

Payment Processing

All payments are processed through Stripe, a PCI-DSS Level 1 compliant payment processor. Zervixa does not store or have direct access to your full payment card information. You are responsible for keeping your payment information current and accurate.

Refund Policy

Zervixa does not offer refunds for partial months of service. Once payment is received, your subscription begins immediately for the specified period. If you cancel during a billing cycle, you will not receive a refund for the remainder of that period. However, you will not be charged for subsequent billing cycles after cancellation.

Payment Disputes

If you dispute a charge, you must contact us within 30 days. We will work with Stripe to investigate and resolve billing disputes in accordance with payment processor policies.

Taxes

You are responsible for paying any applicable taxes on your subscription. We may add applicable taxes to your invoice based on your location and tax status.

6. Trial Period

Zervixa offers a 14-day free trial to new users. Trial terms include:

• Full access to all platform features during the trial period
• No credit card required to start your trial
• Trial access expires 14 days from account creation
• After trial expiration, your account will be suspended until you subscribe to a paid plan
• Conversion to a paid subscription is optional
• Trial period cannot be extended or restarted

7. Intellectual Property Rights

Zervixa Ownership

All content, features, and functionality of Zervixa, including but not limited to software, design, text, graphics, logos, and trademarks, are owned by Jegav, Inc. or its content suppliers and are protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use Zervixa solely for your personal or business use in operating your affiliate marketing program. This license does not permit you to:

• Copy, modify, or create derivative works of Zervixa
• Rent, lease, loan, or transfer your access rights
• Remove or alter any copyright, trademark, or other proprietary notice
• Use Zervixa for any commercial purpose other than managing your affiliate programs

Your Content

You retain ownership of any data, content, or materials you upload to Zervixa ("Your Content"). By uploading Your Content, you grant us a limited license to use, store, process, and display Your Content solely for the purpose of providing the Service to you.

8. Limitation of Liability

Disclaimer of Warranties

Zervixa is provided "as is" and "as available" without warranties of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

• The Service will be uninterrupted or error-free
• All defects will be corrected
• The Service is free from viruses or malicious code

Limitation of Damages

To the fullest extent permitted by law, in no event shall Zervixa, Jegav, Inc., or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to:

• Loss of revenue or profits
• Loss of data or business interruption
• Loss of anticipated savings
• Damages arising from unauthorized access or data breaches

Liability Cap

In no event shall the total liability of Zervixa for any claim arising from these Terms or your use of the Service exceed the total amount paid by you to Zervixa in the 12 months preceding the claim, or $100, whichever is greater.

9. Indemnification

You agree to defend, indemnify, and hold harmless Zervixa, Jegav, Inc., and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Your affiliate marketing practices and content
• Claims arising from Your Content

10. Termination

Termination by You

You may terminate your account at any time by logging into your account and following the account deletion process. Upon termination, you will lose access to your account and all associated data.

Termination by Zervixa

We may suspend or terminate your account immediately, without notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Violation of any law or regulation
• Abuse of the Service or our systems

Effect of Termination

Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination, including limitation of liability, indemnification, and intellectual property rights, shall survive.

11. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Florida, and you agree to submit to the jurisdiction of such courts.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other terms posted on our website, constitute the entire agreement between you and Zervixa regarding the use of the Service and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether written or oral.
